Three directors of Spackman Entertainment Group, Richard Lee, Thong Yuen Siew Jessie and Ng Hong Whee, have tendered their resignations on June 20.
Lee is a non-executive and non-independent director within the company, while Thong is the lead independent director, chairman of the nominating committee. Thong is also a member of the audit and risk management committee and the remuneration committee. Finally, Ng is an independent director of the company, as well as the chairman of the remuneration committee, and member of the audit and risk management committee.
Lee is the only one with a direct interest of some 1 million shares in the company.
According to the filings on SGX, all three directors said that their cessation comes as they seek to “devote more time to other corporate endeavours”.
The resignations will be effective from July 20 onwards, or once suitable replacements have been found.
Following the resignations, Spackman Entertainment would have only one member left in its audit and risk management committee, Anthony Wei Kit Wong.

This is less than the minimum number of three members. The company will have to fill in the vacancy within two months or not later than three months under Catalist rules.
Wei, who is the non-executive and independent chairman of the board of directors, is one of two of the remaining directors left, along with Na Kyoungwon. Na is the executive director, president and chief operating officer of the company.
Shares in Spackman closed flat at 0.5 cent on June 20.
